Nebulai provides AI integration services including data preparation, conversational AI development, and governance frameworks. Our services are delivered on a project basis as outlined in individual service agreements.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. Service availability may vary based on capacity and business decisions. We will provide reasonable notice of any significant changes affecting existing client engagements.

5. User Responsibilities

When using our services, you agree to:

Late payments may incur interest charges at the rate permitted by Malaysian law. We reserve the right to suspend services for accounts with overdue payments. Clients are responsible for any bank fees or transaction charges associated with payments.

Refunds are evaluated on a case-by-case basis and subject to the specific terms outlined in individual service agreements. Generally, fees for completed work are non-refundable.

7. Intellectual Property Rights

All website content, including text, graphics, logos, and software, is the property of Nebulai and protected by Malaysian and international copyright laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Upon full payment for services, clients receive ownership of deliverables as specified in individual project agreements. We retain the right to use project work as portfolio examples unless confidentiality agreements specify otherwise.

Our proprietary methodologies, frameworks, and tools remain our intellectual property even when used in client projects.

8. Confidentiality

We treat client information as confidential and implement appropriate measures to protect it. Specific confidentiality terms are outlined in individual service agreements. Both parties agree not to disclose confidential information without prior written consent, except as required by law or for the performance of services.

9. Disclaimers

Our services are provided "as is" without warranties of any kind, either express or implied. While we strive for quality, we do not guarantee specific results or outcomes from AI integration projects.

We are not liable for: results that depend on data quality or completeness provided by clients, changes in third-party platforms or technologies, or outcomes influenced by factors outside our control.

This disclaimer does not affect any warranties or conditions that cannot be excluded under Malaysian law.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law, our total liability for any claims arising from services provided shall not exceed the total fees paid for the specific service giving rise to the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, even if advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold Nebulai harmless from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights. This indemnification obligation survives termination of these terms.

12. Termination

We may terminate or suspend access to our services immediately for any breach of these terms. Clients may terminate service agreements according to the terms specified in individual project contracts.

Upon termination, all licenses granted to you will cease, and you must discontinue use of our services. Provisions regarding confidentiality, intellectual property, limitation of liability, and indemnification survive termination.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Malaysia. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Selangor, Malaysia.

Before pursuing legal action, both parties agree to attempt to resolve disputes through good faith negotiations for a period of 30 days.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes become effective upon posting to our website. Continued use of our services after changes indicates acceptance of the modified terms. We will notify active clients of material changes via email or through our website.

15. General Provisions

Entire Agreement: These Terms, together with any service agreements, constitute the entire agreement between you and Nebulai regarding the use of our services.

Severability: If any provision is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
